Terms

The terms for Mimira Tech Limited's website, plus the general terms for consulting and implementation work unless a written proposal says otherwise. Buying goods in the webshop is covered by separate webshop terms.

Who you are dealing with

This website is run by Mimira Tech Limited, a company registered in Ireland and based in Dundalk, Co. Louth. Contact: info@mimiratech.com.

Using the website

You may read, print and share the content for your own use. You may not publish it as your own, resell it, or use it to train a model for commercial resale.

The content is written to be accurate and kept reasonably current, but it is general information and not advice for your specific situation. Nothing on the website forms a contract, an offer or a fixed quote.

Prices shown on the website

Prices are starting points and exclude VAT. They are indicative until confirmed in a written proposal. Amounts in SEK are indicative and follow the exchange rate; Mimira Tech Limited invoices in EUR unless the proposal states SEK.

How work is agreed

• A Discovery workshop is agreed by email or written proposal and is paid in advance.
• Implementation work is quoted phase by phase after Discovery. Each phase is approved by you in writing before it starts.
• Anything outside the agreed scope is quoted separately rather than absorbed quietly.
• Where a written proposal or signed agreement exists, it takes precedence over this page.

Payment

Invoices are due within 14 days of the invoice date unless the proposal says otherwise. Late payment may carry interest under Irish late payment in commercial transactions law.

Support agreements are invoiced monthly in advance and can be ended by either side with one month of notice.

Your responsibilities

• To give accurate information and access to the systems the work depends on.
• To name one person who can make decisions and approve phases.
• To buy your Odoo subscription from Odoo, and your Microsoft or Google licences from those vendors or your existing reseller.
• To review configuration and migrated data before go-live, because you know your business better than any consultant does.

Software, licences and third parties

Mimira Tech does not resell software. Odoo, Microsoft, Google, payment providers and any third party apps are supplied under their own terms, directly to you.

We are not responsible for outages, price changes, removed features or policy changes at those vendors, but we do help you deal with the consequences.

Intellectual property

Configuration built in your database is yours. Documentation and training material produced specifically for you is yours to keep and reuse internally.

General methods, checklists and templates that existed before your project remain the property of Mimira Tech Limited.

Confidentiality

Anything we see in your systems or hear in a workshop is treated as confidential and is not shared, quoted or used as a reference without your written consent. This applies with no time limit, in both directions.

Limitation of liability

Work is carried out with reasonable skill and care. If something is done wrong, it gets fixed.

Liability is limited to the fees paid for the phase in which the problem arose, and excludes lost profit, loss of data and indirect or consequential loss. Nothing here limits liability for fraud, death or personal injury, or anything else that cannot lawfully be limited.

Backup, data retention and disaster recovery are your responsibility unless a written agreement places them with us.

Cancellation

You can stop a project between phases. Work done up to that point is invoiced, and nothing further is charged. The output of Discovery is yours either way.

The demo shop

The shop on this website exists to show what Odoo's ecommerce can do. It is not a general retail operation, and any order placed there is subject to confirmation. Purchases in the shop are governed by the webshop terms (Part A), not by the service terms on this page.

Governing law

These terms are governed by Irish law and the Irish courts have jurisdiction. For businesses elsewhere in the EU, this does not affect rights under mandatory national law.
